1. Introduction

These Terms & Conditions (the “Terms”) govern your access to and use of the FirstRing website, applications, and services (collectively, the “Service”). The Service is operated by Atharva Technologies (“Atharva Technologies”, “FirstRing”, “we”, “us”, or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

If you are using the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to that entity.

2. Definitions

• “Customer” means the business or person who registers for and uses the Service.
• “Customer Data” means any data you upload, import, or generate through the Service, including lead contact details, call recordings, transcripts, and notes.
• “End Customer” means a third party (such as a lead or contact) that you call, message, or otherwise engage using the Service.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business use by organisations operating in India.

4. Accounts & Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep it updated. Notify us promptly at admin@firstring.in of any unauthorised use of your account.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right, including telemarketing, data-protection, and consumer-protection laws;
• Make calls or send messages to persons who have not consented to be contacted or who are registered on any “Do Not Disturb” (DND) or equivalent registry where such contact is restricted;
• Transmit spam, fraudulent, deceptive, abusive, harassing, or unlawful content;
• Attempt to gain unauthorised access to, interfere with, or disrupt the Service or its infrastructure;
• Reverse engineer, resell, or sublicense the Service except as expressly permitted in writing.

6. AI Calling & Telephony Compliance

The Service places automated and AI-assisted outbound voice calls and sends messages on your behalf. You acknowledge and agree that:

• You are the sender. You are solely responsible for obtaining all necessary consents from, and for the lawful basis to contact, every End Customer you call or message through the Service.
• Calling windows. Outbound calling is restricted to permitted hours under applicable Indian telecom regulations (TRAI). The Service enforces a calling window and you must not attempt to circumvent it.
• Recording. Calls may be recorded and transcribed for quality, training, and analytics. You are responsible for any notice or consent required from End Customers regarding such recording.
• Disclosure. You are responsible for any disclosure required by law that a call is AI-assisted or automated.

You agree to indemnify us for any claim arising from your failure to comply with these obligations.

7. Customer Data

As between you and us, you retain all rights to your Customer Data. You grant us a non-exclusive, worldwide licence to host, process, and use Customer Data solely to provide, maintain, secure, and improve the Service. You represent that you have all rights and consents necessary to provide Customer Data to us and to have it processed as described in our Privacy Policy.

8. Fees & Payment

Use of the Service is subject to the fees and plan terms agreed at sign-up or in a separate order. Unless stated otherwise, fees are quoted in Indian Rupees and are exclusive of applicable taxes (such as GST), which you are responsible for paying. Usage-based charges (for example, per-minute or per-call charges) accrue as you use the Service. Fees are non-refundable except where required by law.

9. Intellectual Property

The Service, including all software, models, designs, and the FirstRing name and logo, is owned by Atharva Technologies and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.

10. Third-Party Services

The Service relies on third-party providers, including telephony carriers, AI and speech model providers, WhatsApp Business Solution Providers, payment processors, and cloud hosting. Your use of the Service may be subject to those providers’ terms, and we are not responsible for the acts or omissions of third parties.

11. Confidentiality

Each party agrees to protect the other’s confidential information with reasonable care and to use it only as necessary to perform under these Terms.

12. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated outputs (including transcripts, lead scores, and summaries) may contain errors and should not be relied upon as the sole basis for any decision. We do not warrant that the Service will be uninterrupted, error-free, or secure.

13. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the three (3) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Atharva Technologies and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising from your Customer Data, your use of the Service, or your breach of these Terms or applicable law.

15. Term & Termination

These Terms remain in effect while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that may cause harm or legal liability. Upon termination, your right to use the Service ceases; provisions that by their nature should survive (including Sections 7–14 and 17) will survive.

16. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to any applicable dispute-resolution provision, the courts at New Delhi, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.
